General Provisions

1.1. This Public Offer is an official proposal of vorteleather.com.ua (hereinafter referred to as the “Seller”) to conclude a distance sale and purchase agreement for goods, i.e., via the Online Store (hereinafter referred to as the “Agreement”), and is published on the Seller’s official website vorteleather.com.ua (hereinafter referred to as the “Website”).

 

1.2. The moment of the Buyer’s full and unconditional acceptance of the Seller’s offer (acceptance) to enter into an electronic sale and purchase agreement is deemed to be the Buyer’s payment for the order under the terms of this Agreement, within the timeframes and at the prices indicated on the Seller’s Website.

 

Terms and Definitions

2.1. In this Offer, unless the context requires otherwise, the following terms have the meanings set out below:

 

• “Goods” — models, accessories, components, and related items;
• “Online Store” — in accordance with the Law of Ukraine “On Electronic Commerce”, a means of presenting or selling goods, works, or services by concluding an electronic transaction;
• “Seller” — the company selling goods presented on the Website;
• “Buyer” — an individual who has entered into the Agreement with the Seller under the terms set out below;
• “Order” — the selection of individual items from the list of goods, specified by the Buyer when placing an order and making payment.

Subject of the Agreement

3.1. The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

 

This Agreement governs the sale and purchase of goods in the Online Store, including:

• the Buyer’s voluntary selection of goods in the Online Store;
• the Buyer’s independent placement of an order in the Online Store;
• payment by the Buyer for an order placed in the Online Store;
• processing and delivery of the order to the Buyer into the Buyer’s ownership under the terms of this Agreement.

Order Placement Procedure

4.1. The Buyer has the right to place an order for any product presented on the Online Store Website and available for purchase.

4.2. Each item may be ordered in any quantity.

4.3. If an item is out of stock, the Company’s manager must notify the Buyer (by phone or email).

4.4. If an item is unavailable, the Buyer has the right to replace it with a similar model, refuse the item, or cancel the order.

 

Payment Procedure

Cash on Delivery

5.1. Payment is made upon receipt of the goods at the branch/office of the shipping carrier in cash in UAH (Ukrainian hryvnia).

 

5.2. If payment is not received, the Online Store reserves the right to cancel the order.

 

Delivery Terms

6.1. Delivery of goods purchased in the Online Store is carried out to the warehouses/offices of shipping carriers, where orders are handed over to the Buyer.

 

6.2. Together with the order, the Buyer is provided with documents in accordance with the legislation of Ukraine.

Rights and Obligations of the Parties

7.1. The Seller has the right to:

• suspend the provision of services under this Agreement unilaterally if the Buyer violates the terms of this Agreement.

7.2. The Buyer is obliged to:

• pay for and receive the order in a timely manner under the terms of this Agreement.

7.3. The Buyer has the right to:

• place an order in the Online Store;
• enter into an electronic agreement;
• demand that the Seller complies with the terms of this Agreement.

Liability of the Parties

8.1. The parties are liable for failure to perform or improper performance of the terms of this Agreement in the manner provided by this Agreement and the current legislation of Ukraine.

 

8.2. The Seller is not liable for:

 

• changes to the appearance of the Goods made by the manufacturer;
• a minor mismatch of the product’s color scheme, which may differ from the original solely due to different color rendering settings of various computer monitors;
• the content and accuracy of information provided by the Buyer when placing an order;
• delays or interruptions in the provision of services (order processing and delivery) caused by reasons beyond the Seller’s control;
• unlawful actions committed by the Buyer using access to the Internet;
• the Buyer sharing their network identifiers — IP address, MAC address, login, and password — with third parties.

8.3. By using the provided access to the Internet, the Buyer independently bears responsibility for any damage caused by their actions (personally, even if another person used their login) to individuals or their property, legal entities, the state, or moral principles.

 

8.4. In the event of force majeure, the parties are released from fulfilling the terms of this Agreement. For the purposes of this Agreement, force majeure means extraordinary and unforeseeable events that prevent or objectively hinder the performance of this Agreement and which the parties could not foresee or prevent by reasonable means.

 

8.5. The parties shall make every effort to resolve any disagreements exclusively through negotiations.

 

Other Terms

9.1. The Online Store reserves the right to make unilateral changes to this Agreement, provided that such changes are published in advance on the website https://vorteleather.com.ua.

 

9.2. The Online Store is created to organize a distance sale of goods via the Internet.

 

9.3. The Buyer is responsible for the accuracy of the information provided when placing an order. By accepting this Offer (placing an order and subsequently paying for the goods), the Buyer gives the Seller unconditional consent to collect, process, store, and use the Buyer’s personal data within the meaning of the Law of Ukraine “On Personal Data Protection”.

 

9.4. Payment by the Buyer for an order placed in the Online Store constitutes the Buyer’s full consent to the terms of this sale and purchase agreement (public offer).

 

9.5. The effective date of the electronic transaction between the parties is the date of acceptance of the terms in accordance with Article 11 of the Law of Ukraine “On Electronic Commerce”.

 

9.6. Use of the Online Store resource for previewing goods, as well as for placing an order, is free of charge for the Buyer.

 

9.7. The information provided by the Buyer is confidential. The Online Store uses information about the Buyer exclusively for order processing, sending notifications to the Buyer, delivering goods, settlements, and related purposes.

 

Return Procedure for Goods of Proper Quality

10.1. Returns of goods to the Online Store are carried out in accordance with the current legislation of Ukraine.

 

10.2. Return shipping to the Online Store is paid by the Buyer.

 

10.3. When the Buyer returns goods of proper quality, the Online Store refunds the amount paid for the goods upon receipt of the returned goods, less compensation of the Online Store’s expenses related to delivering the goods to the Buyer.

 

Term of the Agreement

11.1. The electronic agreement is deemed concluded from the moment the person who sent the proposal to conclude such agreement receives a response accepting the proposal in the manner specified in part six of Article 11 of the Law of Ukraine “On Electronic Commerce”.

11.2. Before the end of its term, this Agreement may be terminated by mutual consent of the parties prior to actual delivery of the goods by refunding the funds.

 

11.3. The parties have the right to terminate this Agreement unilaterally in the event of non-fulfillment by one of the parties of the terms of this Agreement and in cases provided for by the current legislation of Ukraine.

 

Please note that the online store vorteleather.com.ua, on its official website https://vorteleather.com.ua, has the right, in accordance with the legislation of Ukraine, to grant the right to use the online platform to individual entrepreneurs (FOP) and legal entities for the purpose of selling goods.
